By accessing or using the Vacantes platform (hereinafter, the "Platform"), operated by Vacantes, Inc., a corporation incorporated in Delaware, USA, with its business address at Avinguda Fiter i Rossell, 35, Escala A, 2-3, Edif Kronos, Escaldes-Engordany, Andorra, you agree to be bound by these Terms and Conditions of Service (hereinafter, the "Terms"). If you do not agree with any of these conditions, you must not use the Platform.

Vacantes reserves the right to modify these Terms at any time. Modifications will take effect upon their publication on the Platform. Continued use of the Platform following the publication of modifications will constitute acceptance of the updated Terms. Registered users will be notified of material changes via email or in-Platform notification.

For the purposes of these Terms, the following definitions shall apply:

• "Platform": the web application, the mobile application, and all associated services accessible through the domain vacantes.com and its subdomains.
• "User": any natural or legal person who accesses, browses, or registers on the Platform, regardless of whether they do so as a Candidate or as an Employer.
• "Candidate": any User who uses the Platform for the purpose of seeking employment opportunities, creating a professional profile, applying for vacancies, or receiving job recommendations.
• "Employer": any legal or natural person who uses the Platform to post job openings, manage recruitment processes, search for candidates, or hire recruitment services.
• "Content": any text, image, video, audio, curriculum vitae, job description, data, logo, or any other material uploaded, published, or transmitted through the Platform by any User.
• "Service": the set of functionalities offered through the Platform, including the posting of vacancies, job searching, AI-powered profile analysis, recruitment process management, and communication tools between Candidates and Employers.

Vacantes is an employment platform that connects Candidates with Employers through advanced technology, including artificial intelligence algorithms for compatibility analysis, profile recommendations, and recruitment process optimization. The Platform enables Candidates to create professional profiles, upload resumes, search and apply for job openings, and receive personalized recommendations.

Employers may post job openings, manage applications, use AI-assisted evaluation tools, and access advanced talent search functionalities. Vacantes does not act as an employment agency or labor intermediary; the Platform facilitates the connection between the parties but does not guarantee hiring, candidate suitability, or the legitimacy of posted job openings.

To access certain features of the Platform, Users must create an account by providing truthful, complete, and up-to-date information. Registration may be completed via email and password, or through third-party authentication providers (Google, LinkedIn, GitHub, or Apple). The User is responsible for maintaining the confidentiality of their access credentials.

Each User agrees not to create more than one personal account, not to share their credentials with third parties, and to immediately notify Vacantes of any unauthorized use of their account. Vacantes reserves the right to suspend or cancel accounts that violate these Terms or that exhibit suspicious activity.

Users must be at least 16 years of age to register on the Platform. By creating an account, the User represents and warrants that they meet this minimum age requirement.

By using the Platform as a Candidate, you agree to the following additional terms:

• The information provided in your profile and resume is truthful, accurate, and up to date. Including false or misleading information may result in the suspension or cancellation of your account.
• Resumes and professional data uploaded to the Platform may be analyzed by artificial intelligence systems for the purpose of generating recommendations, calculating compatibility scores, and improving search results. You may consult our AI Policy for further details.
• Vacantes does not guarantee that use of the Platform will result in obtaining employment. AI-generated recommendations are advisory in nature and do not constitute a binding professional assessment.
• You grant Vacantes a limited, non-exclusive, and revocable license to use your Content for the purpose of providing and improving the Services, including processing through AI systems.

By using the Platform as an Employer, you agree to the following additional terms:

• Job openings posted must correspond to real and legitimate positions. The posting of false, misleading, discriminatory, or legally non-compliant job openings is prohibited.
• The Employer is responsible for compliance with all applicable labor laws, non-discrimination laws, and data protection regulations in their jurisdiction in connection with recruitment processes managed through the Platform.
• Candidate data accessed by the Employer may only be used for personnel recruitment purposes related to vacancies posted on the Platform. The use of such data for marketing, spam, or any purpose unrelated to the recruitment process is expressly prohibited.
• Compatibility scores and AI-generated recommendations are decision-support tools and should not be used as the sole selection criterion. The Employer retains ultimate responsibility for hiring decisions.
• The Employer agrees to treat all Candidate information confidentially and in compliance with the General Data Protection Regulation (GDPR) and other applicable data protection legislation.

The following uses of the Platform are prohibited:

• Publishing, transmitting, or storing illegal, defamatory, discriminatory, threatening, obscene, fraudulent content, or content that infringes third-party rights, including intellectual property rights.
• Engaging in scraping, crawling, automated data extraction, or other mass data collection techniques on the Platform without prior written authorization from Vacantes.
• Attempting unauthorized access to Platform systems, accounts, data, or networks, or engaging in activities that compromise the security, availability, or integrity of the Service.
• Impersonating another person or entity, or falsely claiming an affiliation with any person or entity.
• Using the Platform to send unsolicited commercial communications (spam), chain messages, or any form of unauthorized mass contact.
• Manipulating, interfering with, or attempting to circumvent the Platform's security mechanisms, verification systems, ranking algorithms, or AI functionalities.
• Using the Platform in any manner that violates applicable law, including, without limitation, data protection laws, labor legislation, intellectual property laws, and competition law.

The Platform, including its design, source code, algorithms, artificial intelligence models, databases, logos, trademarks, texts, and other content generated by Vacantes, is protected by applicable intellectual and industrial property laws. All rights are reserved to Vacantes, Inc.

The User retains ownership of intellectual property rights over Content uploaded to the Platform. However, by uploading Content, the User grants Vacantes a worldwide, non-exclusive, transferable, sublicensable, and royalty-free license to use, reproduce, modify, adapt, and process such Content to the extent necessary to provide, maintain, and improve the Services.

This license shall remain in effect for as long as the Content remains on the Platform and shall terminate once the User deletes it or requests the deletion of their account, except with respect to backup copies made in accordance with our data retention policy and legal retention obligations.

The Platform uses artificial intelligence systems for various functionalities, including resume analysis, generation of compatibility scores between candidates and vacancies, profile recommendations, interview transcription and evaluation, and job description generation. These systems process personal data in accordance with our Privacy Policy and our AI Policy.

Results generated by AI systems are advisory in nature and are intended as decision-support tools. Vacantes does not guarantee the accuracy, completeness, or suitability of AI results for any particular purpose. No automated decision based solely on AI processing shall produce significant legal effects for users without human intervention.

Vacantes is committed to ensuring transparency in the use of AI in accordance with Article 50 of the European Artificial Intelligence Regulation (AI Act). Users will be informed when they interact with content generated or processed by AI systems.

Certain Platform Services require the payment of fees. Prices and payment terms will be clearly displayed before purchase. All fees are expressed in the indicated currency and do not include applicable taxes, unless expressly stated otherwise.

Payments are processed through Stripe, our payment service provider. Vacantes does not store credit card numbers or complete banking details on its servers. By providing your payment details, you agree to Stripe's terms of service.

Subscriptions renew automatically at the end of each billing period, unless the User cancels before the renewal date. Cancellation will take effect at the end of the current billing period, during which the User will retain access to the contracted features.

Vacantes reserves the right to modify Service fees, notifying affected Users at least 30 days in advance. Continued use of the Service after the new fees take effect shall constitute acceptance thereof.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. VACANTES DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Vacantes is not responsible for the truthfulness, accuracy, or legality of Content published by Users, including job openings, candidate profiles, and communications between Users. The use of information obtained through the Platform is at the User's sole risk.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VACANTES, ITS DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM THE USE OR INABILITY TO USE THE PLATFORM.

Vacantes' total aggregate liability to the User for any claim arising from or related to these Terms or the use of the Platform shall not exceed the total amount paid by the User to Vacantes during the twelve (12) months preceding the claim, or one hundred (100) US dollars, whichever is greater.

The User agrees to defend, indemnify, and hold harmless Vacantes, Inc., its directors, employees, agents, and suppliers against any claim, damage, obligation, loss, liability, cost, or debt, and expense (including reasonable attorneys' fees) arising from: (a) the User's use of the Platform; (b) the User's violation of these Terms; (c) the User's infringement of any third-party right, including intellectual property and privacy rights; or (d) Content published by the User.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of laws provisions. For Users residing in the European Union, this clause does not affect the rights granted to them by the mandatory consumer protection legislation of their country of residence.

Any dispute arising from these Terms or the use of the Platform that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the courts of the State of Delaware, USA. However, Users residing in the European Union may bring proceedings before the courts of their place of residence to exercise their consumer rights and may use the European Commission's Online Dispute Resolution platform (https://ec.europa.eu/consumers/odr).

Vacantes reserves the right to suspend or cancel any User's account, temporarily or permanently, with or without prior notice, if it reasonably determines that the User has breached these Terms, has engaged in fraudulent activities, or has jeopardized the security or integrity of the Platform.

The User may cancel their account at any time through their profile settings. Following a cancellation request, a 30-day grace period will apply during which the User may reactivate their account. After this period, the User's personal data will be deleted in accordance with our Privacy Policy and applicable data protection regulations.

Termination of the account shall not affect obligations and liabilities incurred prior to such termination, nor shall it affect the provisions of these Terms that by their nature should survive termination, including those relating to intellectual property, limitation of liability, indemnification, and governing law.

If any provision of these Terms is declared invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced by a valid provision that most closely approximates the original intent.

The failure of Vacantes to exercise any right or provision of these Terms shall not constitute a waiver of such right or provision in the future. Section headings in these Terms are for reference purposes only and shall have no legal effect.

These Terms, together with the Privacy Policy, Cookie Policy, and AI Policy, constitute the entire agreement between the User and Vacantes with respect to the use of the Platform, and supersede any prior agreements, communications, or proposals, whether oral or written, between the parties.
